Terms and Conditions
	TERMS AND CONDITIONS All web sites, newsletters, companies, or individuals need official approval from Lejos Learning (http://www.lejoslearning.com) before they can become an Affiliate. Only applications that have been reviewed and approved are permitted to use the program. Lejos Learning reserves the right to withhold or refuse approval on any web site, newsletter, company, or individual for any reason, whatsoever. RIGHT OF REFUSAL Lejos Learning reserves the right to refuse customers or to close the accounts of previously accepted customers at its own discretion. COMMISSIONS Filling out this form constitutes an agreement between Lejos Learning and the Affiliate. The commission payment that is generated to the Affiliate varies per registered subscriber to the programs offered. This commission payment is made approximately 1 week after the end of the month and after receiving payment from the Clients. Delinquent Clients payments received by Lejos Learning will be credited to the Affiliate in the month that they are received. Lejos Learning does not guarantee payment to the Affiliate if the Clients do not pay Lejos Learning. Commission payment totals must exceed minimum amount indicated in the program. If the minimum is not reached by the monthly cutoff, the payment will be made on the next regularly scheduled payment date after the minimum has been reached. AFFILIATE MATERIALS The Affiliate agrees not to carry objectionable materials on their web site which would revoke their affiliation as determined by Lejos Learning. Affiliates will only run approved banners and text in their advertising of our programs and will NOT create their own banners or advertising text, unless expressly approved in writing from Lejos Learning. Editing of images or text is strictly prohibited. Affiliates WILL NOT spam or send unsolicited email mentioning or promoting our Affiliate program or our products. Affiliates will only use approved banners and texts. Violation of this forfeits your commissions. You guarantee that all content, products, and services on your web site are legal to distribute and that you own or have the legal right to use any and all copyrighted material. FRAUD Lejos Learning ACTIVELY monitors traffic for Fraud. If we detect Fraud, your account will be made inactive pending further investigation. In the case of fraud it is the OBLIGATION of the Affiliate to prove to Lejos Learning that they are NOT committing fraud. Lejos Learning will hold your payment in "Pending Status" until you have satisfactorily provided evidence that you are not defrauding the system. No affiliate can sponsor themselves as a customer, regardless of the product. If you do, and the activity is noted, you will simply be reallocated to the correct level of sponsorship. OWNERSHIP OF DATA The Affiliate acknowledges and agrees that all forms of intellectual property associated with Lejos Learning including content, functionality, designs and brands shall remain entirely the property of Lejos Learning. Nothing in this Agreement shall confer an Affiliate any rights in any Lejos Learning site content. Lejos Learning shall retain ownership and control of the database containing Customer Information. DENIGRATION During the term of this Agreement, the Affiliate will not denigrate Lejos Learning, or any products or services of Lejos Learning or display any such items in a derogatory or negative manner on any Affiliate website. Any violation of these conditions will result in the Affiliate being liable for damages of an undisclosed amount per email sent to Lejos Learning and other damages as deemed by a court of law. TERMINATION Lejos Learning reserves the right to terminate any Affiliate's contract for any reason whatsoever. Termination notice will be provided via e-mail and will be effective immediately. All legitimate moneys due to Affiliates will be paid during the next billing cycle. If the Affiliate defrauds the system, then the payment will be revoked as determined solely by Lejos Learning. INDEMNITY The Affiliate agrees to indemnify and hold Lejos Learning, its directors, officers, employees, and representatives harmless from and against any and all liabilities, losses, damages, and costs, including legal fees, resulting from, arising out of, or in any way connected with (a) any breach by the Affiliate of any warranty, representation, or agreement contained in this Agreement, (b) the performance of the Affiliate duties and obligations under this Agreement, (c) the Affiliate negligence or (d) any injury caused directly or indirectly by the Affiliate negligent or intentional acts or omissions, or the unauthorized use of the Lejos Learning banners and links or this program. If any Affiliate violates or refuses to take part in their responsibilities, or commits fraudulent activity against us, Lejos Learning reserves the right to withhold payment and take appropriate legal action to cover its damages. CONDITIONS Lejos Learning reserves the right to change any conditions of this contract at any time. Change notices are sent to Affiliates by email, and Affiliates are responsible for complying with any changes to the contract within 10 calendar days from the date of change. Failure of the Affiliate to terminate the agreement within those 10 calendar days will constitute acceptance of the changes to this contract. WARRANTY Lejos Learning gives no warranty, express or implied, for any and all services and products provided, including, but not limited to, warranty of merchantability and warranty of fitness for a particular purpose. This statement expressly includes any reimbursement for losses of income due to disruption of service by Lejos Learning or its upstream providers. Please be informed that all ways and forms of the word Lejos Learning are the sole property of Lejos Learning. The Lejos Learning affiliate program terms and conditions do not allow any use of the said keyword in Google Adwords campaigns or any other PPC campaigns run by the Affiliate. LIMITATION OF LIABILITY Lejos Learning will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if it has been advised of the possibility of such damages. DISCLAIMERS Lejos Learning makes no express or implied warranties or representations with respect to the Affiliate Program, the potential to earn income from the Affiliate Program, or any products or services sold through the Affiliate Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, Lejos Learning makes no representation that the operation of its site or products and services will be uninterrupted or error-free, and it will not be liable for the consequences of any interruptions or errors. The Affiliate should be aware that legal restrictions might be imposed on the marketing of certain Lejos Learning products in certain jurisdictions. Lejos Learning will not be responsible for any liability incurred as a result of Affiliate actively promoting its services in such jurisdictions. RELATIONSHIP Lejos Learning and the Affiliate are entering into a non-exclusive Affiliate Program as independent contractors. The Affiliate is not an employee, partner, agent, franchisee, joint venture partner or in any other way related to Lejos Learning. Lejos Learning has no responsibility or liability in regard to the Affiliate website or business, nor does the Affiliate have any interest whatsoever in the business of Lejos Learning. UNAUTHORIZED E-MAILS Lejos Learning is opposed to the use of spam or any other method of unauthorized e-mail. The Affiliate agrees not to promote any product of Lejos Learning via these methods and indemnifies Lejos Learning of any responsibility or liability if such methods are used. LEGAL ACTION Any legal action taken by an advertiser, agency, client, person, or entity against Lejos Learning for actions of you the Affiliate that violate these terms and conditions, you accept that Lejos Learning will work with the advertiser, agency, client, person, or entity to divulge your personal information. You also agree that Lejos Learning is not liable for your actions, and you will bear all costs (legal or otherwise) that Lejos Learning incurs if Lejos Learning is sued by said advertiser, client, agency, person, or entity. WAIVER Lejos Learning’s failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of the Lejos Learning right to subsequently enforce such provision or any other provision of this Agreement. If any provision of this agreement shall be held or made invalid or unenforceable by a court decision, statute, rule or otherwise, the remaining provisions of this agreement shall NOT be affected thereby.
